    NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE YOUR ODDS OF WINNING.

    These Official Sweepstakes Rules (the "Rules") constitute a legally binding contract between you and the Sponsor(s) regarding this Sweepstakes. By entering into this Sweepstakes, you are accepting and agreeing to these Rules, and you represent and warrant that you have the right, authority, and capacity to agree to these Rules. You may not enter into any Sweepstakes if you do not agree to be bound by these Rules. The Sweepstakes is subject to federal, state, municipal, and local laws and regulations and is void where prohibited.

    1. Entry Period. The Sweepstakes begins on June 01, 2026, at 12:00am ET and ends on May 31, 2024, at 11:59pm ET (“Entry Period”). Entries submitted before or after the Entry Period will not be eligible.

    2. How to Enter. At the beginning of the Entry Period, you may enter the Sweepstakes by visiting https://blckmrktmrch.com/mikemercer (the “Sweepstakes Site”) and completing the Sweepstakes entry form. There is a limit of one (1) entry per person using the entry form; additional entries submitted via the form will be void. Additional entries are available through social media actions (e.g., following a social media user, liking or commenting on posts, etc.) for a set number of entries per action, and additional entries may be available by purchasing items from affiliates. The use of an agency or any automated system to enter is strictly prohibited, and Sponsor(s) reserves the right to disqualify any entries received through such methods, as determined by Sponsor(s), in its sole discretion. By entering the Sweepstakes and completing the Sweepstakes entry form, you must agree to receive email communication(s) from the Sponsor(s) regarding this Sweepstakes, updates to these Rules, and additional entry opportunities. You may also request to receive marketing and promotional emails; however, this is optional and will not increase your odds of winning.

    3. Eligibility. Sweepstakes are open only to persons who are at least the age of majority in their jurisdiction of residence (typically 18 years of age) at the time of entry and who are residents of the United States and the District of Columbia (excluding residents of Alaska, Hawaii, Rhode Island, overseas military installations, Puerto Rico, and other U.S. Territories) or Canada, and has a valid email address. Employees, owners, affiliates, directors, subsidiaries, franchisees, independent contractors, interns, officers, directors, agents, their heirs, and the immediate family members of Sponsor(s) and the associated companies are not eligible to enter. All federal, state, and local laws and regulations apply. Void where prohibited.

    4. Drawing and Odds of Winning. After the end of the Entry Period, on or about January 10, 2027, Sponsor(s) will select potential winner(s) in a random drawing of all entries received using a computer-generated method of selection that is designed to ensure that the drawing is conducted completely at random. The odds of winning will depend on the number of entries received for the Sweepstakes. Each entry shall be equally weighted. One (1) potential winner (a "Potential Winner") from all eligible entries will be awarded the prize pending the Potential Winner's confirmation and/or verification of the Potential Winner's eligibility and compliance with these Rules.

    5. Notification of Potential Winner(s). Sponsor(s) will attempt to notify the potential winner within five (5) business days of the drawing, using the email address provided on the Sweepstakes entry form. If a Potential Winner does not respond within two (2) calendar days after the notice is sent, the Potential Winner forfiets the prize and the Sponsor(s) will select an Alternate Potential Winner, at random from all remaining entries received. The Alternate Potential Winner must respond within two (2) calendar days after the notice is sent. Except where prohibited, a Potential Winner or Alternate Potential Winner may be required to complete and return an affidavit of eligibility and liability/publicity release. If the prize value exceeds $600.00, the Potential Winner, or the Alternate Potential Winner, will be required to provide proof of their legal name, address, and Social Security Number to receive a 1099-Misc, as required by law, within five (5) calendar days (the "Verification Period"). If the Potential Winner fails to sign and return these documents within the Verification Period, an Alternate Potential Winner may be selected at random from all remaining entries received. Only one (1) Alternate Potential Winner will be contacted. If the Potential Winner and Alternate Potential Winner fail to respond, or fail to sign and return required documents within the Verification Period, both parties forfeit the prize, and the cash value of the prize will be held and added to the prize value of a future Sweepstakes..

    6. Prize. One (1) person will receive two (2) General Admission (GA) wristbands, tickets, or the equivalent to a music festival, concert, or event of their choice. Winner will receive wristbands, tickets, or the equivalent to the selected event, only; upgrades, parking, travel, lodging, merchandise, food and beverages, and other accomodations are not included, and the winner is responsible for all other costs..

    7. ARV Disclosure. The prize value shall be equal to the price of two (2) wristbands, plus applicable fees and taxes, but shall not exceed $1,000.00. Any unused portions of a prize are not transferable or exchangeable and cannot be redeemed as cash. If the prize value of this Sweepstakes exceeds $600, the winner will be required to provide their Social Security Number and receive a 1099-MISC as required by law.

    8. Cash Alternative. The Potential Winner, or the Alternate Potential Winner, may have the option to receive a cash alternative. If the Potential Winner, or the Alternate Potential Winner, chooses the cash alternative, they will receive a gift card in the amount of $599.00 (five hundred ninety-nine dollars and zero cents), and they forfeit any and all rights to receive wristbands, tickets, or the equivalent.

    9. Festival or Concert Selection. The Potential Winner, or the Alternate Potential Winner, may choose General Admission (GA) wristbands, tickets, or the equivalent, to any festival, concert, or event within the Continental United States (including the District of Columbia, but excluding Alaska, Hawaii, overseas military installations, Puerto Rico, and other U.S. Territories). If the cost of wristbands, tickets, or the equivalent, including applicable fees and taxes, the Potential Winner, or the Alternate Potential Winner, will have the option of choosing a different festival, concert, or event, or to pay the additional monies required. If wrsitbands, tickets, or the equivalent, to the event are unavailable (e.g., sold-out, waitlisted, etc.), the Potential Winner, or the Alternate Potential Winner, shall not hold the Sponsor(s) liable and must select a different festival, concert, or event.

    10. Age Exclusion. If you are under the age of 21 (twenty-one) at the end of this Sweepstakes, you will be prohibited from requesting wristbands, tickets, or the equivalent to any festival, concert, or event where the event has established a minimum age requirement or otherwise prohibits attendees under the age of 21 (twenty-one).

    11. Methods of Entry. The following is a list of acceptable entry options (entries not included in this list are void):

    Notwithstanding anything to the contrary herein, entries have no cash, monetary, or other value. You are limited to one thousand (1,000) entries per Sweepstakes (as applicable, the "Limit"). If you submit entries in excess of the applicable Limit, all excess entries to the Sweepstakes will be void, regardless of the method(s) of entry.

    12. Void Entries. Any of the following will void all entries and may result in disqualification from this and all future Sweepstakes:

Notwithstanding any other provision of these Rules, Sponsor(s) reserves the right to disqualify a Potential Winner if Sponsor(s) determines, in its sole discretion, that the Potential Winner's participation in the fulfillment of the prize would pose a safety or security concern to any individual involved in the prize experience, including but not limited to performing artists, event staff, venue personnel, other attendees, or the Potential Winner. Except where prohibited by law, Sponsor(s) reserves the right to disqualify a Potential Winner from the Sweepstakes if determined, in its sole discretion, that Potential Winner's receipt of a prize or publicity in connection with the Sweepstakes could reflect negatively on, or harm the business or reputation of, the Sponsor(s) or any of its organization clients. Grounds for disqualification under this provision include, but are not limited to: (i) the existence of a restraining order, protective order, or no-contact order involving the Potential Winner and any individual associated with the prize experience; (ii) documented threats of violence, harassment, or stalking directed at any individual associated with the prize experience, whether communicated through the Site, social media, or any other medium; (iii) prior ejection, removal, or banning from any event or venue operated by or affiliated with any party involved in the prize experience; (iv) a credible report from venue security, law enforcement, or artist management identifying the Potential Winner as a known security concern; or (v) any other verifiable information reasonably indicating that the Potential Winner's presence at the prize experience would create a risk of harm to any person. In the event of a disqualification under this provision, Sponsor(s) may select an alternate Potential Winner at random from all remaining entries received.

    14. Ineligibility. If a Potential Winner is found to be ineligible or not in compliance with these Rules, declines to accept the prize, is unable to be reached by the email address provided onthe Sweepstakes entry form, or does not timely respond, or in the event that a prize or notification is returned undeliverable, the Potential Winner will forfeit the prize, and Sponsor(s) may, in its sole discretion, select an Alternate Potential Winner at random from all remaining entries received. Notwithstanding anything to the contrary in these Rules, Sponsor(s) may abandon or limit any efforts to award a prize to an Alternate Potential Winner, in Sponsor(s) sole discretion, in which case the applicable prize will remain un-awarded.

    15. Delivery of Prize. You agree not to hold Sponsor(s) liable for lost or missing wristbands, tickets, or the equivalent. The prize will be ordered using the Potential Winner's, or the Alternate Potential Winner's, personal information, including name, address, email, and phone number; and a receipt will be provided to the Potential Winner, or the Alternate Potential Winner, using the email provided on the Sweepstakes entry form. Sponsor(s) are not responsible for incorrect information provided by the Potential Winner, or the Alternate Potential Winner. Delivery of wristbands, tickets, or the equivalent is the sole responsibility of the event producer or venue. Upon receipt of the prize order, showing proof that the prize has been paid for, you release the Sponsor(s) from all liability and agree that the Sponsor(s) have fulfilled their obligation in conjunction with this Sweepstakes and the Rules.

    16. LIMITATION OF LIABILITY. By entering any Sweepstakes, you waive all right to, and hold the Released Parties harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) arising out of or in connection with participation in the Sweepstakes or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. None of the Sponsor(s), or any organization that is associated with a Sweepstakes, or any of their respective owners, affiliates, directors, subsidiaries, and franchisees, and any other persons or organizations responsible for sponsoring, fulfilling, administering, or advertising a Sweepstakes or prize (collectively, the "Released Parties"), shall be responsible for, and hereby disclaim any and all liability for: illegible, lost, late, incomplete, misdirected, or undeliverable mail or email; any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability; garbled, corrupt or jumbled transmissions; service provider/Internet/web site/use net accessibility, availability, or traffic congestion; any technical, typographical, or other error; unauthorized human intervention; the incorrect or inaccurate capture of registration information; or the failure to capture, or loss of, any such information. If, for any reason, an entry is confirmed to have been erroneously deleted, lost, corrupted, or otherwise destroyed, or for any other reason not accepted as an entry into a particular Sweepstakes, your sole remedy is to receive another entry into a different Sweepstakes. If, for technical reasons or due to any other fact or circumstance beyond Sponsor(s) reasonable control, any Sweepstakes is not capable of running as planned, Sponsor(s) reserves the right, at its sole discretion, to cancel, terminate, modify, or suspend the Sweepstakes.

    17. BINDING NATURE, WAIVER, INDEMNIFICATION. By entering a Sweepstakes, you agree: (a) to be bound by these Rules and by all applicable laws and by all decisions of the Sponsor(s), which shall be binding and final; (b) to waive any rights to claim ambiguity with respect to these Rules; (c) to waive all of your rights to bring any claim, action, or proceeding against any of the Released Parties in connection with the Sweepstakes; and (d) to forever and irrevocably agree to release, defend, indemnify, and hold harmless each of the Released Parties from any and all claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, liability costs and expenses (including, without limitation, reasonable outside attorneys' fees) that may arise in connection with: (i) the Sweepstakes, (ii) typographical or printing errors in these Rules, or any other Sweepstakes materials, (iii) any change in any prize (or any components thereof) due to unavailability, or due to reasons beyond Sponsor(s) control, (iv) any interruptions in or postponement, cancellation, or modification of any Sweepstakes, (v) human error, (vi) incorrect or inaccurate transcription, receipt or transmission of any entry, (vii) any technical malfunctions or unavailability of any telephone network, computer system, computer online system, computer timing and/or dating mechanism, computer equipment, software, or Internet service provider, or mail service utilized by any of the Released Parties or by you, (viii) interruption or inability to access any online service via the Internet due to hardware or software compatibility problems, (ix) any lost/delayed data transmissions, omissions, interruptions, defects, and/or any other errors or malfunctions, (x) any late, lost, stolen, mutilated, misdirected, illegible, delayed, garbled, corrupted, destroyed, incomplete, undeliverable or damaged entries, (xi) any wrongful, negligent, or unauthorized act or omission on the part of any of the Released Parties, (xii) lost, late, stolen, misdirected, damaged or destroyed prizes (or any element thereof), or (xiii) negligence or willful misconduct by you.

    18. DISPUTE RESOLUTION. YOU AGREE THAT: (1) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THESE RULES, ANY SWEEPSTAKES, OR ANY PRIZES AWARDED OR NOT AWARDED (COLLECTIVELY, "DISPUTES"), SHALL BE RESOLVED EXCLUSIVELY ON AN INDIVIDUAL BASIS, WITHOUT RESORTING TO ANY FORM OF CLASS ACTION, PURSUANT TO BINDING CONFIDENTIAL ARBITRATION CONDUCTED UNDER THE ARBITRATION RULES OF ADR SERVICES, INC. ("ADR") THEN IN EFFECT, TO TAKE PLACE IN RALEIGH, NORTH CAROLINA BEFORE A SINGLE NEUTRAL ARBITRATOR WORKING UNDER THE AUSPICES OF ADR; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING ANY SWEEPSTAKES, BUT IN NO EVENT ATTORNEYS' FEES; AND (3) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN AWARDS FOR, AND YOU HEREBY WAIVE ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES, AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. THE PARTIES AND THE ARBITRATOR SHALL MAINTAIN THE CONFIDENTIAL NATURE OF THE ARBITRATION PROCEEDINGS AND RESOLUTION THEREOF, EXCEPT AS MAY BE NECESSARY TO PREPARE FOR OR CONDUCT THE ARBITRATION PROCEEDINGS, AND EXCEPT IN CONNECTION WITH A COURT APPLICATION FOR A PRELIMINARY REMEDY, A JUDICIAL CHALLENGE TO AN ARBITRATION AWARD OR ITS ENFORCEMENT, OR UNLESS OTHERWISE REQUIRED BY LAW OR JUDICIAL DECISION. ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE RULES, OR THE RIGHTS AND OBLIGATIONS OF ANY OF THE PARTIES IN CONNECTION WITH A SWEEPSTAKES, SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NORTH CAROLINA, WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW, RULES OR PROVISIONS (WHETHER OF THE STATE OF NORTH CAROLINA OR ANY OTHER JURISDICTION) THAT WOULD CAUSE THE APPLICATION OF THE LAWS OF ANY JURISDICTION OTHER THAN THE STATE OF NORTH CAROLINA. NOTWITHSTANDING ANY OF THE FOREGOING TO THE CONTRARY, IF A CLASS OR OTHER REPRESENTATIVE ACTION IS PERMITTED, NEITHER PARTY SHALL BE ENTITLED TO ARBITRATION UNDER THIS SECTION. IF ARBITRATION IS UNAVAILABLE OR UNENFORCEABLE FOR ANY REASON, EACH OF THE PARTIES HEREBY IRREVOCABLY AND UNCONDITIONALLY SUBMITS TO THE EXCLUSIVE JURISDICTION OF THE STATE AND FEDERAL COURTS LOCATED IN WAKE COUNTY, NORTH CAROLINA, AS WELL AS TO THE JURISDICTION OF ALL COURTS FROM WHICH AN APPEAL MAY BE TAKEN THEREFROM, FOR ALL DISPUTES. ANY AND ALL OBJECTIONS THAT ANY PARTY MAY HAVE REGARDING VENUE IN ANY SUCH COURT ARE HEREBY WAIVED.
